These terms

These terms govern your use of ccgorilla.com and the marketing services C&C Gorilla Marketing provides. By using this site or engaging us, you agree to them. If you are agreeing on behalf of a business, you confirm you are authorised to do so.

Where you and we have signed a proposal, statement of work or master agreement, that document governs wherever it conflicts with these terms.

What we do

C&C Gorilla Marketing is a growth marketing and customer acquisition company working with home-service businesses. We connect customer data, CRM, paid advertising, organic search, automation and reporting into one growth system built to find better customers and show what produced revenue.

Scope of services

The services described on this site are an outline of what we offer. They are not a quote, and they are not an offer of specific deliverables.

What we actually provide — the services, the market or markets covered, the timeline and the fees — is set out in a signed statement of work (SOW) or proposal. Where this site and the SOW differ, the SOW controls.

Fees and payment

The fee structure for an engagement is set out in the SOW.

  • It typically combines a platform fee, a fee for each active market, and a performance commission calculated on attributable collected revenue as defined in the SOW.
  • Advertising and media spend, postage, printing and third-party platform costs are paid by the client and are separate from our fees.
  • Invoices are due on the terms stated in the SOW. Ongoing work may be paused where an invoice is overdue.
  • Fees are exclusive of applicable taxes.
  • Fees for work already performed are not refundable.

Performance commission and attribution

Where the SOW includes a performance commission, it applies only to revenue that can reasonably be attributed to the campaigns using the tracking methods agreed in that SOW, such as source tags, tracked calls, campaign-specific pages and forms, CRM attribution or campaign codes.

Where existing channels already produce revenue, the SOW may set a baseline, and commission applies only to incremental revenue above it. Attribution is an estimate produced from the agreed methods. It is not a guarantee that a particular job was caused by a particular campaign.

Term, renewal and termination

The initial term, renewal and notice periods are stated in the SOW, which typically includes a minimum term because the work needs enough cycles to gather data and compound.

Either party may terminate for a material breach that is not cured within the period stated in the SOW.

On termination, the client pays for work performed and for fees accrued through the end of the notice period. Terms that by their nature should survive — fees owed, confidentiality, intellectual property, liability and governing law — survive.

What we need from you

The work depends on access, accuracy and prompt decisions. The client is responsible for:

  • Accurate information about the business, services, pricing, capacity and service area.
  • Timely access to the systems the work runs on: CRM, website, ad accounts, analytics, call tracking and customer data.
  • The right to use the customer data and contact details supplied to us, and the consents required to contact those customers by email, text or phone.
  • A named point of contact who can review and approve campaigns and creative within the turnaround the SOW sets.
  • Prompt notice of anything that affects the work: pricing, capacity, seasonality, service area or staffing.

Marketing results are not guaranteed

We manage and measure the work, and we are accountable for doing it properly. Outcomes in marketing also depend on factors outside our control, including market conditions, competition, your pricing, your capacity, how quickly enquiries are answered, seasonality and the platforms themselves.

Any figures on this site are illustrative or modelled unless they are labelled as reported client results, and they are not a prediction of what your business will achieve. Nothing on this site, and nothing in our proposals or conversations, is a promise of a particular number of leads, appointments, jobs or revenue.

Third-party platforms and services

Campaigns run on platforms we do not own or control, including Google, Meta and the systems your business already uses. Their terms, policies, review processes, pricing and availability are set by them and can change without notice.

We are not responsible for a platform's decisions about an account, for outages, or for platform changes that affect performance. Ownership of, billing for and backups of the data in those accounts remain the client's responsibility.

Intellectual property

Our website content, frameworks, templates, dashboards, processes and written methods remain ours. Nothing in these terms transfers them.

A client's brand assets, their own data and the creative we produce specifically for them remain theirs. On payment of the fees due, we assign to the client the creative produced for them under the SOW, excluding our underlying templates and methods.

We may describe an engagement and its results as a client reference or case study only with the client's permission, or as the SOW permits. You grant us the licence we need to use the materials you give us in order to deliver the services.

Confidentiality

Each party will protect the other's non-public information with at least reasonable care and use it only to perform the agreement. This does not cover information that is public, that a party already held, that a third party lawfully provides, or that the law requires be disclosed.

Disclaimers

This website and its content are provided as they are. To the extent the law allows, we exclude implied warranties, including fitness for a particular purpose, and we do not warrant that the site will be uninterrupted or error-free or that any defect will be corrected.

Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost data.

Our total liability arising out of or relating to the agreement is limited to the fees paid by the client to us in the three months before the event giving rise to the claim.

Nothing here limits liability that cannot lawfully be limited.

Indemnities

You will indemnify us against claims arising from the data, content, customer lists or instructions you give us, and from any failure to obtain the consents required to contact your customers.

We will indemnify you against a claim that original content we created for you infringes a third party's intellectual property, where you have used it as we delivered it.

Governing law and disputes

These terms are governed by the laws of the State of North Carolina, United States. The parties submit to the exclusive jurisdiction of the state and federal courts located in Wake County, North Carolina, and will attempt to resolve a dispute directly and in good faith before filing.

General

These terms, together with any signed SOW, are the entire agreement between us on their subject and replace earlier discussions and proposals. If a provision is unenforceable, the rest stands. Neither party may assign the agreement without the other's consent, except to a successor in a merger or a sale of substantially all assets.

Notices must be in writing, sent to the addresses in the SOW or to the email addresses used in the engagement.

We may update these terms. The version in force for an engagement is the one published here on the date the SOW was signed, unless the SOW says otherwise.
